Welcome to hubbiz. Hubbiz registered buyers will be able to enjoy the rights and privileges described in these hubbiz Terms of Service (these "hubbiz Terms of Service") when purchasing Mall Products (as defined below) on hubbiz from any carefully vetted participating seller. Selection (such sellers are referred to as "Mall Sellers" and such buyers are referred to as "Mall Buyers"). If you are a mall buyer, when you shop on hubbiz, you will be deemed to have agreed to the terms and conditions stated in this hubbiz Terms of Service. Likewise, if you are a marketplace seller, your continued participation in hubbiz will be deemed to have agreed to the terms and conditions stated in these hubbiz Terms of Service. These hubbiz Terms of Service supplement the Terms of Service and other hubbiz policies of which these hubbiz Terms of Service form part – please read the Terms of Service and other hubbiz policies available on the website as they contain important information and obligations regarding your rights. Any terms used in these hubbiz Terms of Service that are not defined herein will have the meaning given to such terms in the Terms of Service and/or applicable hubbiz policies. All terms and conditions described in the hubbiz Terms of Service are subject to change by hubbiz at its sole discretion in accordance with the Terms of Service.

1. hubbiz refund and return policy

1.1 Mall Buyers may complete a return/refund request on the Website and as set out below within seven (7) calendar days from the date the Mall Products are first available for pickup by Mall Buyers (the “Free Returns Period”). Typically, this date is the date on which the marketplace buyer receives delivery of the mall item; however, if the mall buyer does not receive the mall item because the mall buyer did not arrive at the destination address or the mall buyer failed to enter the correct destination address , then that date will be the date of the first delivery attempt.

1.2 Please note that the Mall buyer must ship or deliver the Mall products to a location designated by hubbiz within five (5) days of making a return request, and in any case no later than the last day of the free return period. All returned mall items must be returned via hubbiz’s designated courier company before the last day of the free return period. hubbiz reserves the right to reject any request if the Mall items are shipped within five (5) days of the return request.

1.3 hubbiz will approve your refund and return request at its sole discretion after reviewing the refund/return request you filled out and checking the condition of the returned mall items. The mall buyer acknowledges and agrees that hubbiz’s decision is final and binding, and undertakes and agrees not to initiate litigation or otherwise assert any claim against hubbiz or its affiliates with respect to such decision. The mall products returned to hubbiz must meet at least the following conditions:

● Brand new and sealed;

● Complete, including all items purchased;

● Has the product's original packaging and price tag.

If any additional conditions apply to specific mall items, hubbiz will notify you via the website, text message or email. The return conditions for products in the mall are called "return conditions".

1.4 Additionally, please note that certain types of mall items may be excluded from the refund and return policies described in these hubbiz Terms of Service, including:

● Digital products such as mobile recharge cards, audio or video recordings or software;

● Goods that are perishable or may spoil or expire quickly, such as groceries; and

● Cosmetics, swimwear, underwear and other products that should not be returned due to health protection or hygiene reasons.

If any mall items are excluded from the refund and return policies described in these hubbiz Terms of Service, hubbiz will make reasonable efforts to post this information on our website or otherwise notify mall buyers; however, please note that Our policies may change at any time without notice, and certain Marketplace items may be excluded after purchase by a Marketplace buyer. Any Mall Products that are not subject to the refund and return policies described in these hubbiz Terms of Service are referred to as "Excluded Products."

1.5 hubbiz reserves the right to: (a) add or otherwise modify the list of excluded items and/or return conditions, and (b) modify, terminate or suspend the refund and return policies (including duration) described in these hubbiz Terms of Service free returns period), in each case at any time and at its sole discretion.

1.6 hubbiz may refuse any returned Mall Goods (and associated refund and return requests) at its sole discretion:

● This is an exclusion;

● Not meeting the conditions for return; or

● If the return method of the mall products does not comply with the provisions of Article 1.2 above.

Please note that hubbiz's decision will be based on the list of conditions in effect at the time the decision is made (including the list of excluded items, return conditions and free returns period) and therefore such list of excluded items, return conditions and/or free returns is subject to clause 1.5 above. The length of the return period may differ from the rules in effect at the time the Marketplace buyer completes a refund/return request and/or returns the item to the Marketplace.

If hubbiz rejects the request for refund and return, hubbiz will organize the shipping of the mall goods to the relevant mall buyer address where the mall goods were originally delivered, and hubbiz has the right to claim from the mall buyer any costs incurred and return the mall goods. To the buyers of this mall.

1.7 If hubbiz suspects that a user is abusing the refund and return policy described in these hubbiz Terms of Service, hubbiz reserves the right to terminate the user's access to hubbiz and, if hubbiz deems it appropriate, impose penalties (including the recovery of any fees incurred or charges) the consequences of such abuse).

1.8 The mall product refund and return policy described in these hubbiz Terms of Service is in addition to the general refund and return policy described in the refund and return policy. If there is any inconsistency, the refund and return policy for the Mall Products as stated in these hubbiz Terms of Service shall prevail.

2. Mall Seller Terms and Conditions

2.1 If you are a mall seller, you should have received a separate written notice from hubbiz informing you of your choice to participate in hubbiz. If you decide not to participate in hubbiz at any time, please notify hubbiz in writing: Otherwise, you will be deemed to have chosen to continue participating in hubbiz and to have agreed to the terms and conditions set forth in this hubbiz Terms of Service.

2.2 Each Mall Seller warrants that the Mall Products it provides on hubbiz and actually delivers to Mall Buyers (a) comply with (i) applicable laws and (ii) the specifications listed on the Website (and provided to Mall Buyers), including any and all product warranties, specifications, drawings, samples, performance standards and all applicable quality, safety and health requirements and (b) free from defects. Each Marketplace Seller understands and agrees that it will be responsible for any nonconformity or defect in any Marketplace Item, or any public or private recall, and will hold hubbiz harmless from any losses related to the foregoing.

2.3 If a mall seller is found to offer or sell any mall items on hubbiz that are subject to hubbiz’s prohibited and restricted items policy, hubbiz reserves the right to remove the offending mall items from hubbiz at its sole discretion and to perform refunds (as well as any adjustments) to those who have purchased this item. Mall Buyer of Mall-like Products (even if the Mall Buyer fails to comply with any of the requirements set out in Section 1 above), in which case the Mall Seller agrees to reimburse hubbiz for all such refunds (including any refunds related to costs and fees), and authorizes hubbiz to deduct such amounts from any amounts payable to mall sellers, or to take other actions that hubbiz deems appropriate in its sole discretion.

2.4 hubbiz’s decision to approve a refund or return in accordance with Article 1 above shall be binding on the relevant mall seller. The Mall Seller agrees to comply with and take all necessary measures to implement the Mall Buyer’s refund or return request approved by hubbiz.

2.5 For any refund or return request approved by hubbiz, hubbiz will organize the transportation of the relevant returned mall goods to the address provided by the relevant mall seller to hubbiz in writing to complete the refund and return process without charging additional fees to the mall. Sellers only need that address to be located in the country/region where the relevant Marketplace products are listed for sale on the Site ("Local Address"). If the Mall Seller fails to provide a local address for the return of the returned Mall Goods, or fails to accept delivery of the returned Mall Goods within a reasonable period (as determined by hubbiz), hubbiz reserves the right to dispose of the Mall Goods in any manner it deems appropriate , the mall seller shall be deemed to have given up all rights to the mall products.

2.6 Notwithstanding the above provisions, hubbiz may decide at its sole discretion that the mall products approved for refund or return shall not be returned to the mall seller, and the mall seller shall be deemed to have waived all rights to the mall products.

2.7 For any refund or return that hubbiz receives from the relevant mall products but is rejected by hubbiz, hubbiz will organize the shipping of the mall products to the address of the relevant mall buyer in accordance with Article 1.6 above.

2.8 If hubbiz approves any refund or return request, the Mall Seller may appeal the decision by contacting hubbiz and providing evidence to support the appeal. If hubbiz upholds the mall seller's appeal, all or part of the buyer's purchase price will be paid to the mall seller. The Mall Seller acknowledges and agrees that hubbiz’s decision is final, conclusive and binding, and undertakes and agrees not to initiate litigation or otherwise assert any claim against hubbiz or its affiliates in connection with the decision.

3. hubbiz 100% genuine product policy

3.1 All products listed by mall sellers must be 100% authentic.

3.2 Counterfeit products are prohibited from being listed on hubbiz. The term "counterfeit product" includes products that completely imitate an existing brand with the intent to deceive or defraud and may include, but are not limited to:

● Products that violate the laws of the country in which they are sold;

● Products that are counterfeit or imitations of existing official products;

● Products that have never been produced by a particular brand;

● Products that are obviously underpriced;

● Products containing a registered trademark on the product, packaging or anywhere related to the product without authorization from the trademark owner;

● Products that contain specific design elements protected by a trademark (such as cartoon characters or color designs); without authorization from the trademark owner;

● Products that are similar to other products without the authorization of the trademark owner (such as copies of branded products with or without altered logos);

● There is no obvious trademark on the product pictures, but the delivered goods bear the trademark; and

● Use photos with branding in your listings.

3.3 Original Equipment Manufacturer ("OEM") branding is permitted provided that no official brand logo is displayed on any OEM product image and no official brand name is noted in any part of the product information.

3.4 If requested by hubbiz, the Mall Seller shall promptly provide hubbiz with documents proving (to the reasonable satisfaction of hubbiz) the authenticity of the Mall Products, including but not limited to the manufacturer's sales invoice, authorized distribution agreement and/or certificate of authenticity ("Certificate of Authenticity") .

3.5 If the mall seller fails to provide proof of authenticity, the mall seller should:

(a) Accept mall products returned by mall buyers; and

and (b) be liable to indemnify hubbiz for any other costs, expenses, losses and liabilities (including but not limited to loss of goodwill) suffered or incurred by hubbiz as determined by hubbiz in its sole discretion.

3.6 If hubbiz determines in its sole discretion that a mall seller has violated Article 3, hubbiz may take all appropriate measures, including but not limited to deleting counterfeit mall product listings from the website, prohibiting the posting of identical or similar products, and/or restricting, suspending or terminating the mall seller's rights. hubbiz account and/or access to hubbiz. The obligations and responsibilities of the Mall Seller under these Terms of Service will not be affected by the restriction, suspension or termination of the Mall Seller's account.

4. hubbiz commission fees

4.1 hubbiz charges a fee (“hubbiz Commission”) to the Mall Sellers for all successful transactions completed on the Website. The hubbiz commission is borne by the Marketplace Seller and is calculated as (a) two percent (2%) of the total settlement price for sales of electronic products (such as audio, cameras and drones, computers and accessories, games and games). (b) Three percent (3%) of the total settlement price for sales of fast-moving consumer goods (such as beauty, food and beverages, health products, maternal and child, pets, home & Living - home fragrance and aromatherapy, Home & Living - home care products); and (c) five percent (5%) of the total settlement price for the sale of any other products not otherwise specified in this Agreement. The total settlement price is the original listing price of the seller's merchandise, less any mall seller-sponsored discounts or coupons, rounded to the nearest peso. For the avoidance of doubt, the classification of items specified in clause 4.1 (a), (b) or (c) above shall be determined by hubbiz in its sole discretion. hubbiz commissions include VAT. After the mall seller submits the registration certificate to the IRS, hubbiz shall issue a hubbiz commission receipt or tax invoice.

4.2 After the transaction is successfully completed, hubbiz will deduct the hubbiz commission from the buyer's purchase amount and remit the balance to the mall seller in accordance with the provisions of Article 11.2 of the Terms of Service.

4.3 For the avoidance of doubt, in addition to the transaction fees under these Terms of Service, hubbiz commissions under these Hubbiz Terms of Service shall also apply.

5. hubbiz formula milk guarantee

5.1 The hubbiz Formula Guarantee Program is hubbiz’s commitment to brand authenticity and product freshness for each qualifying formula product.

5.2 Mall buyers can apply for refunds and returns if any purchased qualified formula milk powder products: (a) do not comply with the hubbiz 100% genuine product policy in Article 3 above; (b) the validity period of the qualified formula milk powder products Less than six (6) months from the date of first attempted delivery of such eligible formula product ("Freshness Guarantee").

5.3 If the eligible formula milk powder product does not comply with (a) hubbiz 100% genuine product policy in clause 5.2(a) above, the affected mall buyer shall refund 200% of the buyer's purchase price, and (b) freshness guarantee Clause 5.2(b) above provides that affected mall buyers shall refund 100% of the buyer's purchase price. All refunds shall be made via the same method of payment as the original payment method, unless the payment method was cash on delivery, in which case the refund will be credited to the marketplace buyer's e-wallet.

5.4 hubbiz reserves the right to refuse, deny or exclude claims made by mall buyers under this hubbiz milk powder guarantee at its sole discretion and without prior notice, including (but not limited to) refund and return claims that are incomplete, incorrect or incomplete. - Comply with or fail to perform any applicable terms, or attempt to damage or tamper with an eligible formula product. hubbiz reserves the right not to disclose the reasons why a claim is unsuccessful. No letters will be accepted.

5.5 All decisions of hubbiz regarding this Hubbiz Formula Guarantee are final and binding, including, but not limited to, identification of eligible claimants, number of submissions submitted by each claimant, clarity of photos and submission content, time and date Expiration times, limitations of this hubbiz formula guarantee, and maximum refund amount.
